Terms of Service

SHD Sourcing is a sourcing and fulfillment platform for online resellers. Depending on your plan, we provide price checks on items you want to sell, source products on your behalf after you sell them, and arrange packing and shipping to your buyer through our fulfillment partners. SHD Sourcing is an independent company. We are not affiliated with, endorsed by, or sponsored by Depop or any other marketplace.

You must be at least 18 years old (or the age of majority where you live) to use the Services. You agree to provide accurate account information, keep it up to date, and keep your sign-in credentials secure. You are responsible for activity that happens under your account.

Free features. Some features (such as price checks and submitting manual sourcing requests) are available without a paid plan.

Subscriptions. Paid plans are billed monthly in advance through Stripe and renew automatically each billing cycle until cancelled. You can cancel any time from your Billing page; cancellation takes effect at the end of the current billing period and you keep access until then. Promotional pricing (for example a discounted "live deal" rate) applies for as long as the promotion states and is otherwise locked to your subscription while it remains active.

Per-order payments. Sourcing orders are quoted individually. A quote covers the item cost and our sourcing and shipping service, and becomes payable through a Stripe payment link. We do not start purchasing or fulfilling an order until it is paid. Quotes can expire or be re-quoted if supplier pricing changes before you pay.

Price changes. We may change subscription pricing with advance notice; changes apply from your next billing cycle.

When you pay a sourcing quote, we purchase the item from a supplier, quality-check it, and ship it to the address you provide, typically with a proof photo and live tracking in your dashboard. Delivery timelines shown in the Services are estimates: orders ship internationally and can be affected by supplier stock, carrier delays, customs processing, and other events outside our control.

You are responsible for providing complete, accurate shipping addresses. If an item becomes unavailable after you pay, we will contact you and either source an agreed alternative or refund the order — we never substitute products without your consent. Refunds and cancellations are governed by our Refund Policy.

You sell to your own buyers on your own storefront. You are the seller of record for your sales, and you are responsible for complying with the terms of the marketplaces you sell on, for the accuracy of your listings, for your own taxes, and for handling your buyer relationships. You agree not to use the Services to source or resell items that are counterfeit, illegal, recalled, hazardous, or that infringe someone else's intellectual property. We may decline any sourcing request at our discretion, including items we cannot legally or safely ship.

You agree not to misuse the Services — including attempting to access other users' data, probing or disrupting our infrastructure, scraping the Services, reverse engineering, or using the Services to break the law. We may suspend or terminate accounts that violate these Terms.

The Services depend on third parties — including Stripe (payments), Google (sign-in and optional integrations), our fulfillment and logistics partners, and the marketplaces you sell on. Their services are governed by their own terms, and we are not responsible for their availability or actions, though we will always work with you in good faith to resolve issues they cause.

The Services, including our software, design, branding, and content, are owned by SHDsourcing and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Services for your own business while you have an account. You keep all rights to the content and data you submit; you grant us the license needed to operate the Services with it (for example, sharing an order's shipping details with our fulfillment partner).

The Services are provided "as is" and "as available." We do not guarantee that your reselling business will be profitable, that specific items can be sourced at specific prices, or that the Services will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

To the fullest extent permitted by law, SHDsourcing will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising out of the Services is limited to the greater of (a) the amounts you paid us in the three (3) months before the event giving rise to the claim, or (b) $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You can stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms. If your account is closed while sourcing orders are still open, we will either complete them or refund them under the Refund Policy.

We may update these Terms from time to time. The "Last updated" date above will change, and for material changes we will give you notice (for example by email or an in-app notice). Continuing to use the Services after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of laws rules. Disputes will be resolved in the state or federal courts located in Washington, and you consent to their jurisdiction.
